Terms of services

These Terms govern your use of Ursus themes, our website, our theme documentation, and our support.

Our themes and related services (the "Services") are provided by Ursus Ecom, a company registered in Vietnam ("Ursus," "we," "us," or "our"). "You" means the person or business using our Services.

By purchasing an Ursus theme, or by using our website, documentation, or support channels, you agree to these Terms.

Our relationship with Shopify

Ursus themes are sold exclusively through the Shopify Theme Store. Shopify processes the purchase, issues the licence, and holds the billing record.

Your purchase is therefore also governed by Shopify's terms and the Shopify Theme Store terms you accept at checkout. Where those terms and these Terms differ on something Shopify controls - purchase, licensing, billing, refunds, or transfers - Shopify's terms apply.

These Terms cover the parts Shopify's terms don't: your use of our website and documentation, your use of our support, and the intellectual property in our themes.

Your theme licence

Your licence for an Ursus theme is issued by Shopify at the point of purchase, and covers use on the store where the purchase was made.

Licence scope, validation, and transfers are handled by Shopify. We don't impose licensing conditions beyond Shopify's, and we can't verify, reissue, or transfer a licence on your behalf.

Payments and refunds

Theme purchases are processed by Shopify. We don't handle theme payments and can't issue refunds for them.

Refund requests go to Shopify through the Shopify Help Center at https://help.shopify.com/. See our Refund Policy for the full picture.

Theme updates

Updates to our themes are free for as long as you hold a valid licence, including major versions. A new major release isn't a separate purchase for existing customers.

Two things to be aware of:

  • Themes change over time. Updates may add, change, or remove features as a theme develops and as Shopify's platform changes. We don't guarantee that a particular feature will remain in a theme indefinitely, or that updates will be released on any set schedule.
  • Updating replaces your theme files. Custom code added to an earlier version doesn't carry forward automatically.

Support

We provide support as described in our Support Policy, which sets out what support covers, what falls outside it, our support hours, and our response-time targets.

Support is provided on a best-efforts basis. Our response-time targets are targets for a first reply, not commitments to resolve an issue within a given period.

We may limit or decline support where a request falls outside the scope described in that policy, or where communication with our team is abusive or discriminatory.

Customization and development work

Ursus doesn't provide customization, custom development, or design services, and no such work is included in a theme purchase.

You're free to modify your own copy of a theme, or to engage a developer to do so. Where an enquiry is specifically about custom development work, we may refer you to BearPlus, who handle those enquiries separately.

Any arrangement you enter into with BearPlus or any other developer is between you and them. We aren't a party to it, we don't warrant the work, and we can't support custom code produced under it.

Intellectual property

Ursus themes, including their design, source code, and documentation, are our intellectual property or that of our licensors.

What your licence gives you: the right to use a theme on a licensed store, and the right to modify your own copy of that theme for use on that store.

What it doesn't give you: ownership of the theme. Your licence doesn't permit you to redistribute, resell, sublicense, or publish the theme or its source files, and modifications you make don't transfer ownership of the underlying theme to you.

Third-party apps and services

Our themes are built on Shopify's standard platform features and may be used alongside third-party apps, scripts, and services supplied by their own developers under their own terms.

We don't control those services, don't test our themes against every app available, and aren't responsible for their behavior, availability, or effect on your store.

Your responsibilities

You're responsible for your store: its content, its products, its configuration, and its compliance with the laws that apply to your business, including consumer protection, privacy, tax, and accessibility law.

We don't provide legal, tax, privacy, accessibility, or regulatory advice, and nothing in our themes, documentation, or support should be treated as such.

Disclaimer and limitation of liability

Themes are provided "as is"

Our themes, documentation, and support are provided on an "as is" and "as available" basis.

We work to keep our themes functional, compatible with Shopify's platform, and free of defects, and we fix confirmed bugs through theme updates. To the extent permitted by applicable law, we don't warrant that a theme will be uninterrupted or error-free, that it will be compatible with every third-party app, or that it will meet every requirement specific to your business.

Limits on our liability

To the fullest extent permitted by applicable law, our total liability arising out of or relating to your purchase or use of a theme, or your use of our website, documentation, or support, is limited to the amount you paid for that theme in the twelve months before the claim arose.

We aren't liable for indirect, incidental, special, or consequential loss, including lost profits, lost revenue, lost sales, or lost or corrupted data.

Nothing in these Terms limits or excludes liability that can't be limited or excluded under applicable law.

Changes to these Terms

We may update these Terms as our themes and Services change. The "Last modified" date at the top shows when they were most recently revised.

If we make a significant change, we'll make that clear on this page. Continuing to use our themes, website, documentation, or support after an update means you accept the revised Terms.

Governing law

These Terms are governed by the laws of Vietnam, without regard to conflict of law principles.

Disputes arising out of or relating to these Terms are subject to the jurisdiction of the competent courts of Vietnam, except where applicable law gives you the right to bring proceedings elsewhere.
